In connection with this offering, Egalet expects to grant the underwriters a 30-day option to purchase additional shares of common stock and warrants, equal to up to 15% of the number of securities sold in the offering. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. All of the securities in the offering are to be sold by Egalet.

Egalet anticipates using the net proceeds from the offering, together with its existing cash, cash equivalents and marketable securities available for sale, to support its commercial sales and marketing efforts with respect to ARYMO® ER (morphine sulfate) extended-release tablets for oral use —CII, SPRIX® (ketorolac tromethamine) Nasal Spray and OXAYDO® (oxycodone HCI, USP) tablets for oral use only —CII and for general corporate purposes, including potential business development opportunities.
